Look for the “no,” because the “yes” lies

Hence the complete reversal of method: stop looking for the yes, look for the no. A “no” is always sincere — nobody says no just to be polite. And it gives your counterpart a sense of control that unlocks the real conversation.

In an industrial context: it’s the perfect tool to re-engage a prospect who has gone silent, unblock a supplier who is stalling, or open a difficult conversation with a quiet shareholder — the same reflex a transition manager applies from the first weeks of a sensitive assignment.

The “Black Swans”

Voss distinguishes three levels of information in any negotiation: what you know, what you know you don’t know, and what you don’t even know you don’t know. This third category — the Black Swans — almost always holds the lever that unlocks everything. And the worst part: the other party often doesn’t realize they hold it.

In an industrial context: a client threatening to leave almost never leaves for the reason they state. A shareholder blocking a Capex rarely blocks over the amount. A union hardening its tone isn’t hardening over the figures presented — this is exactly the fieldwork a transition industrial director does by walking the shop floor rather than reading dashboards.

Get “that’s right,” not “you’re right”

“You’re right” actually means: “I’m conceding the point so you’ll stop talking.” The real signal of a breakthrough is “that’s right.” You get there through a labeled summary: you restate the other party’s position, their constraints, their fears — and you do it better than they could themselves.

In an industrial context: it’s the tool that unlocks a frozen works council, turns around a hostile executive committee, or tips an undecided shareholder during a turnaround.

The case — three techniques in a row

A family-owned industrial mid-cap, 180 employees, second generation, for sale for 14 months. Three LOIs turned down by the historic shareholder, who repeats at every meeting that he “isn’t against it” — a textbook face-saving yes. A transition general manager assigned to the deal invites the shareholder to lunch, no documents. Black Swan discovered over dessert: the real sticking point isn’t the price, it’s that in ten years, no one will remember his grandfather founded the plant in 1962. Labeled summary at the next meeting — “that’s right.” A name-legacy clause is written into the SPA. Signed three weeks later, no price adjustment.
